Seller terms
_Last updated: 9 October 2026_
DRAFT. Not yet reviewed. This page is a working draft. It is being reviewed by our chartered accountant and our lawyer, and the wording may change before the shop feature is offered to everyone. Until then, treat it as a plain-language statement of how we intend things to work.
These seller terms apply when you use the shop feature on a SoEasy site to sell goods to customers. They are part of our terms of use and sit on top of them. If the two ever disagree about selling, these seller terms win. In short: you run the shop, you are the seller, and we provide the software.
1. Who does what
- You are the seller of record. Every sale is a contract between you and your customer. You are responsible for the goods, how they are described, their price, delivery, returns, refunds, and after-sales service.
- SoEasy only provides software. We give you the tools to list products, take orders, track stock, print invoices and send emails. We are not a marketplace, we do not sell your goods, and we are not a party to any sale between you and your customers.
- We never hold your customers' money. Payments go through your own payment gateway account (for example your own Razorpay account) and settle to your bank account under that gateway's terms. We do not receive, hold, or pay out customer money, and we cannot refund a customer on your behalf from our own funds.
- Card data never touches SoEasy. Customers enter card, UPI and bank details on your gateway's own secure page. We do not see or store them.
2. Your legal duties as a seller
You are responsible for knowing and following the laws that apply to your business. This includes, for example:
- GST. Registering for GST if you need to, charging the right rate, issuing correct tax invoices or bills of supply, issuing credit notes for refunds, filing returns, and keeping records. The invoice and report tools in the console are aids; they do not replace your accountant. Entering the wrong GST rate, HSN code or GSTIN is your responsibility.
- Consumer protection and e-commerce rules. Showing your business name, address, contact details and GSTIN, showing the price and what it includes, stating the country of origin, publishing clear return, refund and shipping terms, and naming a grievance officer whose details are visible to customers. Acknowledging complaints within 48 hours and resolving them within one month is expected under the Consumer Protection (E-Commerce) Rules, 2020.
- Legal metrology. For packaged goods, showing the net quantity, MRP and any other declarations the law requires.
- Product rules. Any licence, registration, safety standard, labelling or import rule that applies to what you sell.
- Honest listings. Photos, descriptions, prices and stock must be accurate. You must honour the price shown when the customer paid.
- Returns and refunds. Following your own published policy and the law. If a customer starts a return through your shop, you decide whether to accept it under your policy and the law, and you are responsible for sending any refund.
The setup checklist in the console asks for these details before your shop can open. Completing the checklist does not mean we have checked that your details are correct or that your shop follows the law.
3. What you may not sell
You may not use SoEasy to sell, or to advertise for sale:
- alcohol;
- tobacco, vaping products and e-cigarettes;
- weapons, ammunition, explosives and related parts;
- narcotic or psychotropic drugs, and prescription or other regulated medicines;
- adult content or services;
- gambling, betting, lottery and similar schemes;
- counterfeit goods, or goods that infringe someone's trademark, copyright or other rights;
- live animals, and products made from wildlife or protected species;
- hazardous, flammable or toxic materials that cannot lawfully be shipped by ordinary courier;
- stolen goods, or anything else that is illegal in India or in the country of your customer;
- anything your payment gateway or courier refuses to handle.
If your payment gateway stops you selling something, that decision applies here too. We may add to this list if the law or our payment and courier partners require it, and we will tell you when we do.
4. Limits
- Products. Each shop can list up to 200 products, which is included in your plan. If you need more, contact support through Help in your console and we will raise the limit for your site where we can.
- Fair use. We may limit emails, uploads or storage that are far beyond normal use for a shop of your size.
5. Taking content down and suspending a shop
We do not check every listing, but we may act when we learn of a problem. We may remove a product or listing, switch off checkout, or suspend your shop, with or without notice, if:
- you sell something on the list in section 3, or something otherwise illegal;
- we receive a credible complaint, court order or government direction;
- your payment gateway or courier account is closed or frozen because of your activity;
- customers are being misled or harmed, or there is a pattern of unresolved complaints; or
- you break these terms or our terms of use.
Where we reasonably can, we tell you first and give you a chance to fix the problem. Suspending a shop does not cancel any order already paid: you must still deal with those orders and refund customers where required.
6. Customer data and privacy
Your shop collects customer details such as names, addresses, phone numbers, emails and order history.
- You are the data fiduciary (the party that decides why and how the data is used) under India's Digital Personal Data Protection Act, 2023. You must have a lawful basis, give your customers a privacy notice (the shop's privacy policy page), and handle their requests.
- SoEasy is your data processor. We store and process that data only to run your shop for you, under your instructions, and we protect it with reasonable security measures.
- Marketing. Send marketing emails only to customers who agreed to them. The shop records that choice at checkout.
- Records you must keep. Tax law requires you to keep invoice records for years. If a customer asks for deletion, we remove or anonymise their personal details but keep the order and tax figures the law requires.
- Export and deletion. You can ask us at any time to give you an export of your shop's data (orders, customers, products) or to delete it. We will do so within a reasonable time, subject to anything we must keep by law. If a customer asks you to delete their data, you can pass the request to us and we will help.
- Our privacy policy explains what we collect about you as our customer.
7. Availability and sales
We work to keep your shop online and fast, but we do not promise that it will always be available, error-free or secure against every attack. We do not guarantee any level of traffic or sales. Third-party services your shop depends on (payment gateway, couriers, email delivery, your domain provider) have their own terms and their own outages, and we are not responsible for them.
8. Responsibility and indemnity
To the extent the law allows, you are responsible for your shop, your goods and your dealings with your customers. You agree to compensate us for any claim, penalty, loss or reasonable legal cost we suffer because of your goods or listings, your breach of these terms or the law, or a dispute between you and a customer, a tax authority, a payment gateway or a courier. The limit on our liability in the terms of use applies to anything you claim against us.
9. Our own subscription
Your SoEasy subscription, including cancellation and refunds of what you pay us, works as described on the refunds and cancellation page. Selling through your shop does not change it. Refunds you give your customers are between you and them; they do not reduce what you owe us.
10. Accepting these terms
Before your shop can open, the console asks you to confirm that you have read and accept these seller terms. We record the date and who accepted. If we change these terms in a way that matters, we will tell you by email and ask you to accept the new version.
11. Law
These terms are governed by the laws of India, and the courts of New Delhi have jurisdiction, as in our terms of use.
